Terms of Service

1. Agreement to Terms
By accessing or using Qail.io ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.
2. Description of Service
Qail.io provides a software-as-a-service (SaaS) platform for maritime transport operators ("Operators") to manage bookings, inventory, passenger manifests, and customer communications. The Platform also enables authorized agents ("Agents") to sell tickets on behalf of Operators.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our Platform. Operators must hold valid maritime operating licenses as required by Indonesian law.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.
4. Operator Responsibilities
As an Operator, you agree to:
- Provide accurate vessel, schedule, and pricing information
- Maintain valid maritime operating licenses and insurance
- Comply with all applicable Indonesian maritime regulations
- Honor confirmed bookings made through the Platform
- Submit accurate passenger manifests to port authorities (Syahbandar)
- Ensure vessel safety and seaworthiness
5. Agent Responsibilities
As an Agent, you agree to:
- Only sell inventory for Operators who have authorized you
- Provide accurate passenger information at time of booking
- Collect and remit payments according to your contract with the Operator
- Not misrepresent pricing, schedules, or vessel conditions
6. Fees and Payment
6.1 Platform Fees
Qail.io charges fees as described on our Pricing page. Fees may include monthly subscription fees and/or per-booking tech fees charged to end customers.
6.2 Payment Processing
Payments are processed through third-party payment providers (Xendit, Midtrans, etc.). Qail.io is not responsible for payment provider fees, failed transactions, or disputes with payment providers.
6.3 Refunds
Refund policies are set by individual Operators. Qail.io facilitates refund processing but does not determine refund eligibility. Tech fees are non-refundable once a booking is confirmed.
7. Cancellations and Modifications
Booking cancellation and modification policies are determined by the Operator. Passengers should review the Operator's specific policies before booking. Qail.io is not liable for cancellations or modifications made by Operators.
8. Intellectual Property
The Platform, including its design, features, and content, is owned by Qail.io and protected by intellectual property laws. Operators retain ownership of their brand assets uploaded to the Platform.
9. Data and Privacy
Your use of the Platform is subject to our Privacy Policy. Operators are responsible for ensuring they have appropriate consent to share passenger data with Qail.io and port authorities.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Qail.io is not responsible for vessel operations, safety, or delays
- Qail.io is not liable for Operator or Agent actions or omissions
- Qail.io's total liability shall not exceed the fees paid to us in the 12 months preceding the claim
- Qail.io is not liable for indirect, incidental, or consequential damages
11. Indemnification
You agree to indemnify and hold harmless Qail.io from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
12. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our control.
13. Termination
We may suspend or terminate your access to the Platform for violation of these Terms, non-payment, or at our discretion with 30 days notice. Upon termination, you may export your data for 30 days.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide 30 days notice for material changes. Continued use of the Platform after changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms are governed by the laws of the Republic of Indonesia. Any disputes shall be resolved through arbitration in Bali, Indonesia, under the rules of the Indonesian National Board of Arbitration (BANI).
